Cyprus IP Holding Company: Structure & Tax (2026)

A separate IP holding company is one possible structure, not a requirement of the IP Box.

In short

A separate IP holding company is one possible structure, not a requirement of the IP Box. Compare a single-company model with the proposed split, including actual functions, control of risks, R&D expenditure and arm’s-length remuneration. A licence does not automatically make a royalty deductible for the payer or fully eligible for relief in the recipient.

What is a Cyprus IP holding company?

A Cyprus IP holding company is a Cyprus tax-resident company whose purpose is to own intellectual property, such as patents, copyrighted software, or other qualifying intangibles, and to license that IP to operating businesses in exchange for royalties. It centralises ownership of valuable intangibles in one jurisdiction, then channels the income those assets generate through a favourable and EU-compliant tax regime.

This guide is indicative and general in nature. It is not tax or legal advice; the right structure depends on your facts, and professional advice should be taken before acting.

How it works with the IP Box

For 2026 corporate examples: UE = min(30% × QE, A + R); OE = QE + A + R; N = min(1, (QE + UE) / OE). The deduction is 80% × OI × N. Taxable IP income is OI minus that deduction, not merely 20% of the nexus-adjusted portion. At 15%, the effective rate on OI is 15% × (1 − 80% × N).

Identify royalties, licences, compensation and the supported IP component of product or service income. Deduct attributable expenses to calculate net income. Non-capital disposal income requires separate analysis; capital gains should not automatically be included in the IP income base.

The two-entity model: holdco and opco

  • Assess tax residence, actual management, functions and any permanent-establishment or treaty issues on the facts. Formal incorporation and a registered address do not settle these questions.
  • For 2026, Article 33(9) sets annual Local File exemption thresholds by controlled-transaction category: €10 million for financing, €5 million for goods and €2.5 million for other categories. Test aggregate arm’s-length values against the relevant threshold. Exemption from a Local File does not remove arm’s-length pricing or all other documentation and reporting duties.

Treaties and withholding tax on inbound royalties

Check the payer country’s domestic law, the applicable treaty or directive, beneficial ownership, association and holding-period requirements, anti-abuse provisions and claim formalities. EU membership alone does not establish a 0% withholding rate. A Cyprus IP Box deduction does not change the foreign withholding rate or guarantee a full foreign-tax credit.

For resident domiciled individuals, the 5% SDC treatment concerns relevant dividends from profits earned from 2026; older profits require transitional analysis. Non-dom relief is a separate personal-status question. Outgoing dividends are not universally free of withholding: defensive rules can apply to specified recipients in blacklisted or low-tax jurisdictions.

Substance, arm's-length royalties and transfer pricing

Assess tax residence, actual management, functions and any permanent-establishment or treaty issues on the facts. Formal incorporation and a registered address do not settle these questions.

The IP Box regulations do not impose a universal requirement for a majority of Cyprus-resident directors, Cyprus banking or exclusively local developers. Genuine decision-making and reliable evidence remain important. Unrelated overseas R&D is not automatically excluded from qualifying expenditure.

For 2026, Article 33(9) sets annual Local File exemption thresholds by controlled-transaction category: €10 million for financing, €5 million for goods and €2.5 million for other categories. QE is qualifying R&D, A is acquisition cost and R is related-party R&D. OE = QE + A + R. UE = min(30% × QE, A + R). Nexus = min(1, (QE + UE) / OE), where OE is positive. Use the asset’s relevant historical expenditure; the denominator is not every accounting expense.

Capital gains on IP disposal

Determine whether the disposal is capital or trading in nature. A genuine capital disposal of qualifying IP can receive different treatment from a trading sale, whose income may enter the IP Box calculation. A sale of shares is a separate transaction. Do not assume every software disposal is tax-free.
